با تشکر مهدی شمس ________________________ ایمیل کنگره برای همه به برگزارکنندگان گردهمائی مخفی 13 فوریه info Regarding Feb 13 Event on Middle East Politics Yahoo / Inbox info@icc4all.com <info@icc4all.com> To: hrrec@uOttawa.ca , cepi-cips@uOttawa.ca , pmason@rideauinstitute.ca Cc: info@iccongress.ca , michael.parsa@pc.ola.org , majid.jowhari.c1a@parl.gc.ca , Ali.Ehsassi.C1A@parl.gc.ca Feb. 12 at 9:00 p.m. Dear Organizers, We the undersigned, are a group of members of the Iranian Canadian Congress with whose “cooperation” this event is claimed to be organized. It is with great dismay and concern that we hereby inform you of the gross breach of confidence and fiduciary responsibilities of certain members of the Board of Directors of the Iranian-Canadian Congress. 1- The Iranian Canadian Congress is a member owned, non-partisan, non-commercial, non-profit Ontario corporation. The by-laws of the corporation insist on transparency and obligate any sitting Board of Directors to record and publish the minutes of all meetings thereby informing the membership of all decisions and processes by which those decision are made. 2- The Institute for Peace & Democracy is a “private” institute and represents the specific views of the private owners of said Institute. There is no relationship, official or otherwise between the Iranian Canadian Congress and the privately owned Institute for Peace and Diplomacy. It has come to our attention that a “private, by invitation only” event has been organized in Ottawa by the private institute noted in (2) above. The invitation for this private event notes that the event is held “in cooperation” with the Iranian Canadian Congress among others. As members of the Iranian Canadian Congress, we have not been informed by the decision to cooperate in the organizing of this event. Furthermore, we have been excluded from attending such private event that has been organized in “cooperation” with a public organization that we are the members of and by extension, part owners of. We therefore wish to inform you of the following complaint; Conflict of Interest: As certain sitting members of the Board of Directors of the Iranian Canadian Congress are the executives (owners) of a private institute (The Institute for Peace & Democracy), the cooperation of the ICC in organizing a private event organized by a private Institute represents a gross conflict of interest. This conflict of interest represents a breach of the fiduciary responsibilities of the Board of Directors of a publicly owned organization. The inherent secrecy and exclusion of the members of the Iranian-Canadian Congress from this event further aggravates this conflict of interest. Secrecy and Obscurantism: By not informing the members of the Iranian Canadian Congress of the decision making process to cooperate in organizing this event by a privately held Institute, it is obvious that only a one-sided and engineered view is being presented in the event in question. The members of the ICC are being denied to present the diversity of views on the topic of the talk. Our dismay is further aggravated by the potential misrepresentation of the opinions of the Iranian Canadian Congress members as a whole under the guise of a “briefing session by experts”. Our concern is with the secretive approach and engineering of opinion that may be represented on behalf of the Iranian Canadian Congress that is comprised of a diverse membership body. Irrespective of the content of the event, this breach of fiduciary responsibilities tarnishes the validity of any opinion that is presented in this context. We believe that the resources and good name of a public non-profit corporation (the Iranian Canadian Congress) is being used to promote the agenda of a private institute (The Institute for Peace and Diplomacy) without the consent and knowledge of the membership of the Iranian Canadian Congress. This undemocratic action and breach of confidence of the membership body must be noted by all those in attendance at the event. As a result, the undersigned dissenting members of the Iranian Canadian Congress, appeal to the organizers and participants of the event to remove any reference to the Iranian Canadian Congress from this event as a participant, cooperator, supporter or organizer of said event. By failing to exercise their fiduciary responsibilities to inform and invite the members of the ICC, the Board of Directors, including those who also own the private Institute for Peace and Diplomacy, have breached their duties towards the by-laws of the Iranian Canadian Congress that clearly emphasizes transparency and democratic values. We further state that any views presented at the event do not represent the views of the Iranian Canadian Congress members.
